What is CSRD?

The Corporate Sustainability Reporting Directive (CSRD) replaces the current Non-Financial Reporting Directive (NFRD) and significantly expands the reporting requirements. The CSRD focuses on reporting sustainability performance in addition to the usual financial performance, via a so-called ESG reporting (Environment, Social, Governance). Companies must not only report on how sustainability affects their business operations, but also on the impact they themselves have on the environment and society.

From 2024, companies will be required to use European Sustainability Reporting Standards (ESRS) to report on themes such as climate change, circular economy, human rights and good governance.

Who does the CSRD apply to?

The CSRD initially applies to large companies, defined as companies that meet two of the following three criteria:

  1. More than 250 employees;
  2. More than €50 million turnover;
  3. More than €25 million balance sheet total​.

Medium-sized and listed small companies will also have to report from 2026. Although unlisted SMEs are not directly covered by the directive, they may still face requests for information from larger companies in their value chain.

Small and medium sized businesses

Listed SME companies must report from 2026. A company is considered small or medium-sized if it meets at least two of the following three criteria:

  • Less than 250 employees
  • Annual turnover of up to 50 million euros
  • Balance sheet total of maximum 25 million euros

Non-listed companies

Although unlisted SMEs are not directly covered by the Directive, they may still be faced with requests for information from larger companies in their value chain.

The future of sustainability reporting

The CSRD is an important step towards greater transparency on sustainability in business. For FHI members, this means that they must not only analyse their own impact, but also that of their entire value chain.
